The Basics of Branch Taxation in Kenya
After successfully registering a Branch of a foreign company, and being issued a Certificate of Compliance, the next step is to register with the Kenya Revenue Authority (KRA) to procure a PIN certificate.
A foreign company refers to a company incorporated outside Kenya.
The Companies Act No.17 of 2015 provides for registering a branch of a foreign company in Kenya.
The following are the requirements for registering a branch of a foreign company in Kenya.
A local representative.
A foreign company must appoint a local representative. The local representative is liable to;
a. To do all acts, matters, and things, the company is required to do under the Companies Act.
b. Penalty imposed on the company for non-compliance or contravention.
A Registered foreign company may appoint more than one local representative in which case the representatives are jointly and accordingly liable.
2. Name Reservation
To get registered, the company must provide a Name under which it seeks to carry on business in Kenya.
Such a name can be;
a. The name of the company it is carrying out business within the country which is is incorporated.
b. An alternative name which is in accordance with the provisions of the Act.
3. Application for registration.
The foreign company, through the local representative, may lodge with the Registrar to register the company in Kenya
Documents required;
a. Certified copy of the Incorporation Certificate of the company in its place of origin.
b. The company’s certified copy of its constitution, Memorandums and Articles of Association.
c. A list of directors & shareholders and their personal details.
d. Registered office address in its place of origin.
e. Notice of Address of its registered local office.
4. On registering a foreign company, the Registrar shall;
a. Allocate a unique identifying number (Registration Number) for the company.
b. issue a Compliance Certificate.
